1. Agreement to Terms

Welcome to Cyber Hub. These Terms of Service ("Terms") are entered into between you and Cyber Hub LLC ("Cyber Hub," "we," "our," or "us") and govern your access to and use of our invite-only professional networking platform. By accessing or using Cyber Hub, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the platform. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Invite-Only Membership

2.1 Invitation Requirement

Cyber Hub is an invite-only network. To join as a professional, you must:

• Receive a valid invitation code from an approved member or administrator
• Enter the invitation code during the signup process
• Complete your professional profile
• Receive approval from our admin team

Submission of an invitation code does not guarantee approval for membership. All applications remain subject to administrative review and acceptance at Cyber Hub's discretion.

2.2 Invitation Codes

• Invitation codes are single-use and expire after 30 days
• Codes may not be sold, transferred, or publicly shared
• Approved professionals may generate referral codes to invite qualified colleagues
• Misuse of invitation codes may result in account termination

2.3 Membership Expectations

By joining Cyber Hub, you agree to:

• Maintain accurate and up-to-date profile information
• Only invite qualified cyber professionals you know and trust
• Uphold the professional standards of the network
• Respect the privacy and confidentiality of other members

3. Account Types and Eligibility

3.1 Professional Accounts

• Must be at least 18 years old
• Must work in or be seeking work in cyber, intelligence, security engineering, software development, mission-aligned technical roles, or related fields determined at Cyber Hub's discretion
• Must provide accurate information about skills, experience, and qualifications
• Profile subject to admin approval before becoming visible to employers

3.2 Employer Accounts

• Must represent a legitimate organization
• Must provide accurate company information
• Require an active subscription to access professional profiles and post jobs
• Must comply with all applicable employment laws

3.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4. Acceptable Use

4.1 Permitted Uses

• Creating and maintaining an accurate professional or employer profile
• Browsing and applying to job opportunities (professionals)
• Searching for and connecting with qualified candidates (employers)
• Posting legitimate job opportunities (employers)
• Inviting qualified professionals to join the network

4.2 Prohibited Activities

You may NOT:

• Provide false, misleading, or inaccurate information
• Impersonate another person or entity
• Scrape, harvest, or collect user data without permission
• Use the platform for spam, phishing, or fraudulent activities
• Post discriminatory, harassing, or offensive content
• Share or sell invitation codes for profit
• Attempt to circumvent security measures, access controls, or subscription-based visibility restrictions
• Use automated tools or bots to access the platform
• Interfere with or disrupt the platform's operation
• Violate any applicable laws or regulations

5. Employer Subscriptions

5.1 Subscription Access

Employers must maintain an active subscription to:

• Browse and search professional profiles
• View full professional profile details
• Request introductions to professionals
• Post and manage job listings
• Receive and review job applications

Employer subscriptions provide access to the Cyber Hub network and platform features only and do not guarantee candidate availability, responses, interviews, or hiring outcomes.

5.2 Subscription Plans and Pricing

Subscription plans, features, seat limits, usage limits, and pricing are described on the Cyber Hub website and may change periodically. Current plan details are available at cyberhubtalent.com/pricing. Cyber Hub reserves the right to modify plan features and pricing with reasonable notice to active subscribers.

5.3 Billing and Payment

• Subscriptions are billed monthly or annually as selected
• Payment is processed securely through Stripe
• Subscriptions automatically renew unless cancelled
• You are responsible for maintaining valid payment information
• Failed payments may result in subscription suspension

5.4 Cancellation and Refunds

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• No refunds for partial months or unused time
• Access to premium features ends when subscription expires

5.5 Trial Periods

Trial periods may be offered at our discretion. Trial access may be limited or restricted. Trials automatically convert to paid subscriptions unless cancelled before the trial ends.

5.6 Beta Access

Certain features of the platform may be offered during evaluation or beta access periods. Features available during beta may change, be limited, or be discontinued at any time without notice. Cyber Hub makes no guarantees regarding feature availability during beta access periods.

6. Employer Responsibilities

6.1 Job Postings

Employers must ensure that job postings:

• Are for legitimate, available positions
• Contain accurate job descriptions and requirements
• Comply with all applicable employment and anti-discrimination laws
• Do not contain misleading compensation information
• Are not used for data collection or marketing purposes

6.2 Permitted Employer Actions

Employers with an active subscription may:

• View professional profile information authorized by their subscription level
• Review applications submitted to their posted positions
• Request introductions to professionals through the platform
• Contact professionals who have accepted an introduction or submitted an application

6.3 Prohibited Employer Actions

Employers may NOT:

• Scrape, harvest, or systematically collect professional profile data
• Attempt to circumvent subscription-based visibility restrictions or access controls
• Share, sell, or distribute candidate information externally without the candidate's explicit consent
• Export professional data into external databases, talent pools, or recruiting systems without consent
• Use professional data for marketing, advertising, or non-recruiting purposes
• Contact professionals outside the platform without prior consent obtained through the platform
• Discriminate based on protected characteristics

Violation of these restrictions may result in immediate suspension or termination of access and may subject the violating party to legal action where permitted by law.

6.4 Professional Interactions

When interacting with professionals, employers must:

• Respect professional privacy and confidentiality
• Provide timely responses to applications and introduction requests
• Maintain professional and respectful communication

7. Admin Authority and Moderation

7.1 Profile Approval

Our admin team has sole discretion to:

• Approve or reject professional profile applications
• Request additional information or verification
• Set approval criteria and standards
• Determine timeline for profile review

Cyber Hub maintains sole discretion over membership eligibility and may approve, deny, suspend, or revoke access at any time in order to preserve the quality, integrity, and trust of the network.

Cyber Hub reserves the right to modify membership criteria, evaluation standards, and approval requirements at any time without prior notice.

7.2 Account Suspension and Termination

We reserve the right to suspend or terminate any account at any time for:

• Violation of these Terms of Service
• Providing false or misleading information
• Engaging in prohibited activities
• Abuse of platform features or other members
• Non-payment of subscription fees (employers)
• Any reason we deem necessary to protect the platform or its users

Access to Cyber Hub is a privilege, not a right. Membership may be revoked at any time, with or without notice, to maintain the integrity and professional standards of the network.

7.3 Content Moderation

We reserve the right to review, edit, or remove any content that violates these Terms or is otherwise objectionable. We are not responsible for monitoring all user content but may do so at our discretion.

8. Intellectual Property

8.1 Platform Ownership

Cyber Hub and all related trademarks, logos, and content are owned by Cyber Hub LLC or our licensors. You may not use our intellectual property without prior written permission.

8.2 User Content

You retain ownership of the content you post (profiles, job listings, messages). By posting content, you grant us a non-exclusive, worldwide, royalty-free license to:

• Display your content on the platform
• Share your content with other users as intended by platform features
• Use your content to improve and promote our services

8.3 Feedback

Any feedback, suggestions, or ideas you provide about the platform become our property, and we may use them without compensation or attribution.

9. Disclaimers and Limitations

9.1 Platform Availability

The platform is provided "as is" and "as available." We do not guarantee uninterrupted access or error-free operation. We may modify, suspend, or discontinue features at any time without notice.

9.2 No Employment Guarantees

Cyber Hub is a networking platform. We do not guarantee job placements, interviews, or employment outcomes. We are not responsible for employer hiring decisions or professional career outcomes.

9.3 Platform Role

Cyber Hub LLC is a professional networking and recruiting platform. Cyber Hub is not a staffing agency, recruiting firm, employment agency, security clearance adjudicator, background investigation provider, or employer of any professionals listed on the platform. Cyber Hub does not participate in hiring decisions between employers and professionals.

9.4 Automated Matching Disclaimer

Cyber Hub may recommend opportunities, professionals, employers, or introductions through automated systems, algorithms, or machine learning tools. Such recommendations do not constitute endorsements, guarantees, or representations of suitability, fitness for a role, or employment eligibility. Users are responsible for their own evaluation and due diligence.

9.5 Security Clearance Disclaimer

Cyber Hub does not independently verify security clearance eligibility, adjudication status, active clearance status, polygraph status, or access eligibility unless expressly stated. Clearance information provided by users is self-reported and has not been independently confirmed by Cyber Hub LLC.

9.6 User Verification

While we review professional profiles, we do not verify all user information or conduct background checks. Users are responsible for their own due diligence when interacting with others.

9.7 Third-Party Services

We use third-party services (Google OAuth, Stripe) for certain features. We are not responsible for the availability, security, or practices of these third parties.

9.8 Service Availability

Cyber Hub does not guarantee uninterrupted or error-free access to subscription features. Platform functionality may be modified, suspended, or discontinued at any time for maintenance, improvements, or operational reasons.

10. Limitation of Liability

To the maximum extent permitted by law, Cyber Hub LLC and its officers, directors, employees, and agents shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from user interactions or employment decisions
• Unauthorized access to or alteration of your data
• Third-party conduct or content

Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Cyber Hub LLC from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, violation of these Terms, or violation of any rights of another party.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@cyberhubtalent.com to attempt to resolve the dispute informally.

12.2 Governing Law

These Terms are governed by and interpreted under the laws of the State of Texas, without regard to conflict of law principles.

12.3 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to a jury trial or class action.

13. Force Majeure

Cyber Hub LLC shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to:

• Internet outages or telecommunications failures
• Cloud infrastructure or hosting provider failures
• Cyber attacks, distributed denial-of-service attacks, or security incidents
• Government actions, regulations, or orders
• Natural disasters, pandemics, or acts of God
• Any other event outside our reasonable control

In such events, our obligations will be suspended for the duration of the force majeure condition. We will make reasonable efforts to resume normal operations as quickly as practicable.

14. Copyright and DMCA

14.1 Reporting Infringement

Cyber Hub LLC respects intellectual property rights. If you believe that content on the platform infringes your copyright or other intellectual property rights, you may report it by submitting a notice to:

14.2 Notice Requirements

Your notice must include:

• A description of the copyrighted work or intellectual property you claim has been infringed
• A description of the content you believe is infringing and its location on the platform
• Your contact information (name, address, email, phone)
• A statement that you have a good faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights owner or authorized to act on their behalf
• Your electronic or physical signature

14.3 Unauthorized Resume Use

Professionals retain ownership of their resumes and application materials. Employers may not reproduce, distribute, or use resume content outside of legitimate recruiting evaluation without the professional's consent. Reports of unauthorized resume use may be submitted to legal@cyberhubtalent.com.

15. Referral Program

Cyber Hub operates a referral program that allows approved professionals to invite qualified colleagues to the network. By participating in the referral program, you agree to the following:

• Referral codes remain the property of Cyber Hub LLC and are issued for personal, non-commercial use only
• Referral codes may be revoked at any time at Cyber Hub's discretion
• Abuse of the referral program — including selling codes, generating codes for unqualified individuals, or circumventing the invitation process — may result in account suspension or termination
• Referral benefits, rewards, or incentives may be modified, suspended, or discontinued at any time without prior notice
• You are responsible for only referring individuals you genuinely believe meet the professional standards of the network
• Cyber Hub reserves the right to reject any referred applicant regardless of referral source

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cyber Hub LLC.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.

16.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

16.4 Assignment

You may not assign or transfer these Terms without our consent. We may assign these Terms without restriction.

16.5 Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance.
